Egyptian Competition Authority approves seven M&A, joint venture transactions

The Egyptian Competition Authority (ECA) has approved seven applications involving mergers, acquisitions, and joint ventures as part of its review of economic concentration transactions.

The approvals include the proposed acquisition by Indo Suez for General Trading of a 51% stake in Fanar Foods. The authority also approved the indirect acquisition by Genel Energy PLC of 100% of the total shares of Capricorn Energy PLC.

Another approved transaction involves Bain Capital Investors LLC, which will indirectly acquire a 51% stake in Everllence SE. The ECA also approved the establishment of a joint venture between General Warehouses for Storage and ROSHN Group.

In the pharmaceutical sector, the authority approved the merger of Sun Pharma Inc. into Organon & Co. The list also includes approval for the establishment of a joint venture between Casper Holdco B.V. and Syngenta Crop Protection AG.

In addition, the ECA approved an application submitted by Vermögensverwaltungsgesellschaft for the acquisition of sole control over Springer Nature Management AG and Springer Nature AG & Co. KGaA.

The approvals form part of the authority’s mandate to review economic concentrations that may affect competition in the Egyptian market.

The ECA has been expanding its review of mergers, acquisitions, and joint ventures under Egypt’s competition framework, with the aim of assessing their potential impact on market structure and competitive conditions.

The authority’s review process covers transactions that meet the applicable thresholds and seeks to identify potential competition concerns arising from changes in ownership or control.
